Gujarat Themis Secures $58 Million From Orion Capital Asia

Gujarat Themis Biosyn has secured approximately $58 million in private-credit financing to support its acquisition of Japanese pharmaceutical company MicroBiopharm Japan, highlighting the increasing role of alternative lenders in financing cross-border acquisitions by Indian companies.

Asian private-credit investor Orion Capital Asia provided approximately ¥9.2 billion in financing for the transaction.

The financing supports Gujarat Themis' ¥21.5 billion acquisition of MicroBiopharm Japan, a deal first announced in May 2026 and subsequently completed in September following regulatory approvals and satisfaction of closing conditions.

The transaction gives Gujarat Themis ownership of a Japanese pharmaceutical platform with more than six decades of experience in fermentation, drug development and manufacturing.

MicroBiopharm Japan Acquisition Valued at ¥21.5 Billion

Gujarat Themis agreed to acquire 100% of MicroBiopharm Japan from funds managed or advised by Japan-based T Capital Partners.

The transaction was valued at ¥21.5 billion, equivalent to roughly ₹1,300 crore when it was announced.

The acquisition was executed through Themis Biosyn Japan, Gujarat Themis' wholly owned Japanese subsidiary.

Gujarat Themis completed the acquisition in September 2026 after receiving the necessary regulatory approvals and meeting the required closing conditions.

The existing MicroBiopharm Japan management team is expected to continue leading the business.

Company Also Raises ₹585 Crore Through Private Placement

The Orion Capital Asia financing forms part of a broader funding structure assembled by Gujarat Themis for the acquisition.

The company separately raised ₹585 crore through a private placement of non-convertible debt securities in September.

The rupee financing included secured five-year debentures carrying a 10% coupon as well as 18-month instruments carrying a 17.75% coupon.

Proceeds are intended primarily for investment in the company's wholly owned Japanese subsidiary to finance the MicroBiopharm acquisition, alongside general corporate purposes.

Private-credit funds managed by Avendus Capital and Edelweiss Alternatives participated in the rupee-denominated financing, with an Avendus-managed fund acting as a lead investor.

Private Credit Supports Cross-Border Expansion

The transaction demonstrates how private credit is becoming an increasingly important financing source for Asian companies pursuing international acquisitions.

Unlike conventional syndicated bank financing, private-credit providers can sometimes structure transactions more quickly and tailor repayment schedules, security arrangements and other terms around individual acquisitions.

That flexibility can be particularly useful in cross-border transactions where buyers need financing certainty within specific deal-closing schedules.

However, private credit can also carry comparatively high borrowing costs, making the acquired company's cash generation and post-acquisition financial performance important for the borrower.

Acquisition Expands Gujarat Themis Beyond India

MicroBiopharm Japan gives Gujarat Themis a substantial operating platform outside India.

The Japanese company operates three GMP-compliant manufacturing facilities and has a regulatory inspection track record involving both the US Food and Drug Administration and Japan's Pharmaceuticals and Medical Devices Agency.

MicroBiopharm generated approximately ¥9.5 billion in revenue during FY26, with around 40% coming from international markets.

Its customer relationships extend across Asia, Europe and North America, providing Gujarat Themis with access to a broader global pharmaceutical customer base.

Gujarat Themis Targets Globally Integrated CDMO Model

The acquisition forms a central part of Gujarat Themis' strategy to evolve from a fermentation-led intermediates and active pharmaceutical ingredients business into a globally integrated contract development and manufacturing organisation.

MicroBiopharm brings complementary capabilities in precision fermentation and biotechnology.

One important addition is its proprietary P450 enzyme platform, which can be used for hydroxylation and other specialised manufacturing processes.

The Japanese company's expertise complements Gujarat Themis' existing fermentation manufacturing capabilities in India.

Combining the two businesses could allow the group to offer customers services extending across development, manufacturing and commercial-scale pharmaceutical production.

Deal Adds Advanced Biotechnology Capabilities

The acquisition also provides Gujarat Themis with access to technologies extending beyond its traditional pharmaceutical manufacturing operations.

MicroBiopharm's capabilities include plasmid DNA, antibody-drug conjugate conjugation and recombinant protein technologies.

Its operations also cover APIs and intermediates used across areas such as oncology, immunosuppressants, peptides and antibiotics.

These capabilities could broaden Gujarat Themis' addressable pharmaceutical market and strengthen its ability to work with global drug companies on higher-value manufacturing programmes.

India-Japan Combination Creates Potential Synergies

Gujarat Themis expects the combination to generate operational and commercial synergies.

MicroBiopharm contributes established Japanese manufacturing infrastructure, advanced fermentation technologies, regulatory experience and longstanding relationships with global pharmaceutical customers.

Gujarat Themis brings large-scale manufacturing capabilities and a lower-cost operating base in India.

The company believes combining these strengths could create opportunities for cross-selling, international market expansion and improved cost competitiveness.

The strategy could also allow selected manufacturing activities to benefit from India's production economics while retaining MicroBiopharm's specialised technology and regulated-market capabilities.

Acquisition Financing Increases Importance of Debt Management

The size of the MicroBiopharm acquisition represents a substantial expansion for Gujarat Themis.

The use of private credit and other debt instruments means investors will closely monitor the company's leverage, financing costs and cash generation following the transaction.

The 10% coupon on its five-year debentures and 17.75% rate attached to shorter-term instruments illustrate the cost associated with parts of the acquisition financing.

Successful integration of MicroBiopharm and realisation of expected operating synergies will therefore be important to Gujarat Themis' ability to manage the enlarged financial structure.

Conclusion

Gujarat Themis Biosyn's $58 million private-credit financing from Orion Capital Asia represents an important component of the funding behind its ¥21.5 billion acquisition of MicroBiopharm Japan.

Combined with ₹585 crore raised through privately placed debt securities, the financing demonstrates how the Indian pharmaceutical company has used multiple sources of debt capital to execute a major international acquisition.

More importantly, MicroBiopharm significantly expands Gujarat Themis' technological capabilities, international manufacturing presence and exposure to global pharmaceutical customers. The transaction marks a major step in the company's strategy to develop into a fermentation-based, globally integrated CDMO platform.
